1. Acceptance of Terms
By accessing or using the Dunyo platform and services available at dunyo.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity ("Organization"), you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
The Service is provided by Dunyo, Inc., a Delaware corporation ("Dunyo," "we," "us," or "our"). Dunyo is a workspace that brings people operations and project management together, helping growing teams organize their people, plan and track their work, and support career growth.

- Teams and departments — organize members into teams and departments;
- Absence tracking — record and view time off, such as vacations, business trips, and leave;
- Schedules and availability — share working hours, time zones, and online status;
- Career ladders — define levels, expectations, and salary bands, and track member progression;
- Projects and issues — plan initiatives and projects, and track issues with statuses, labels, comments, and attachments;

The feature set of the Service evolves over time. Dunyo may add, modify, or remove features at its discretion and will make reasonable efforts to communicate material changes to current subscribers in advance.
3. Eligibility
You must be at least 18 years of age and capable of entering into a binding contract to use the Service. The Service is intended for business use by companies and their authorized personnel. It is not directed at consumers for personal use. By using the Service, you represent that you meet these requirements.
4. Accounts and Workspaces
4.1 Account Registration
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4.2 Workspaces
The Service is organized around Workspaces. A Workspace represents a single organization or team using Dunyo. Each Workspace has one or more Administrators who control settings, billing, and membership.
4.3 Workspace Administrators
If you are a Workspace Administrator, you may invite other users ("Members") to your Workspace and assign them roles. You are responsible for:
- Ensuring all Members comply with these Terms;
- Ensuring your Workspace's use of the Service complies with applicable law, including data protection law where personal data about employees or other individuals is entered;
- The accuracy and appropriateness of any content entered by Members in your Workspace.
4.4 Members
Members access the Service at the direction of and subject to the control of the Workspace Administrator. If you are a Member, your use of the Service is also governed by any internal policies your organization imposes.
4.5 Account Security
You must notify Dunyo immediately at [email protected] if you suspect unauthorized access to your account or Workspace. Dunyo is not liable for losses resulting from unauthorized use of your account that arise through no fault of Dunyo.
5. Subscriptions and Payment
5.1 Plans
The Service is offered under subscription plans as described on dunyo.app. Dunyo reserves the right to modify pricing with at least 30 days' prior written notice to current subscribers. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated herein or required by applicable law.
5.3 Taxes
You are responsible for all applicable taxes associated with your subscription, except for taxes based on Dunyo's net income.
5.4 Free Trials
Dunyo may offer free trials. At least 5 days before a free trial period ends, Dunyo will send a reminder email notifying you of the upcoming conversion to a paid plan. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged. You may cancel at any time before the trial ends through your account settings or by contacting [email protected].
5.5 Downgrade and Cancellation
You may downgrade your plan or cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period and you will retain access to the Service until that date. Dunyo does not provide prorated refunds for unused portions of a billing period, except where required by applicable law.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Upload, transmit, or store content that is unlawful, harmful, defamatory, or violates third-party intellectual property or privacy rights;
- Enter personal data about individuals without a valid legal basis to do so;
- Attempt to gain unauthorized access to any part of the Service, any other user's Workspace, or Dunyo's underlying systems;
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of any component of the Service;
- Use the Service to build a product or service that competes with Dunyo;
- Scrape, crawl, or extract data from the Service by automated means without Dunyo's prior written consent;
- Share access credentials with unauthorized individuals or allow third parties to access your account;
- Interfere with or disrupt the integrity, availability, or performance of the Service or its infrastructure.
7. Your Content
7.1 Ownership
You retain all ownership rights in the data, content, documents, and information you or your Members submit to or create within the Service ("Your Content"), including initiative, project, and issue data, and people data such as profiles, org structure, absences, and career records. By submitting Your Content, you grant Dunyo a limited, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide the Service to you.
7.2 Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. Dunyo does not monitor Your Content but reserves the right to remove content that violates these Terms upon becoming aware of it.
7.3 People and Employee Data
If Your Content includes personal data about employees or other individuals — such as profiles, org structure data, absence records, or career records — you are the data controller for that data and Dunyo acts as your data processor. The processing of that data is governed by our Data Processing Addendum ("DPA"), which forms part of these Terms, and applicable data protection law. You represent that you have a valid legal basis for entering such data into the Service.
7.4 Data Export
You may request an export of Your Content at any time during your active subscription by contacting [email protected], and Dunyo will provide it in a commonly used, machine-readable format. Upon termination or cancellation, you may request an export for a period of 30 days, after which Dunyo will delete Your Content in accordance with Section 11.3.
7.5 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Dunyo a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without obligation to you.
8. Intellectual Property
The Service, including all software, design, text, graphics, and other materials created by Dunyo, is owned by Dunyo, Inc. and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.
You may not use Dunyo's name, logo, or trademarks without prior written consent.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Dunyo collects, uses, and protects personal data. You acknowledge that you have read and understood the Privacy Policy.
Where you submit personal data about third parties (such as employees) through the Service, you represent that you have the necessary legal basis to do so and that you have provided appropriate notices to those individuals.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Each party agrees not to disclose Confidential Information to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for a period of three (3) years.
11. Suspension and Termination
11.1 Cancellation by You
You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period and you will retain access until that date.
11.2 Suspension or Termination by Dunyo
For cause with notice: Dunyo may terminate your access to the Service if you materially breach these Terms and fail to cure such breach within 10 days of receiving written notice from Dunyo describing the breach.
Immediate suspension: Dunyo may suspend your access immediately, without prior notice, if:
- Your use of the Service poses an imminent security risk to Dunyo, other users, or third parties;
- Dunyo reasonably suspects your account is being used for illegal activity;
- Required by applicable law or court order.
In cases of immediate suspension, Dunyo will notify you promptly after the suspension and provide an opportunity to respond, unless prohibited by law. If the issue is resolved, Dunyo will restore access without undue delay.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases at the end of the applicable notice or billing period. You may request an export of Your Content for 30 days following termination. After that 30-day window, Dunyo will securely delete Your Content, and backup copies are overwritten within a further 60 days, unless Dunyo is legally required to retain it. Provisions of these Terms that by their nature should survive termination shall survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DUNYO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
DUNYO WILL USE COMMERCIALLY REASONABLE EFFORTS TO MAINTAIN SERVICE AVAILABILITY, BUT DOES NOT GUARANTEE ANY SPECIFIC UPTIME LEVEL UNLESS SEPARATELY AGREED IN WRITING.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DUNYO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DUNYO IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL DUNYO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, Dunyo's liability is limited to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Dunyo, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
16. Changes to Terms
Dunyo may update these Terms from time to time. We will notify you of material changes by email and by posting a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
17. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and the Data Processing Addendum, constitute the entire agreement between you and Dunyo regarding the Service and supersede all prior agreements and understandings.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign these Terms or any rights hereunder without Dunyo's prior written consent. Dunyo may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
- Force Majeure. Neither party is liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures, provided the affected party notifies the other promptly and uses reasonable efforts to resume performance.
- Notices. Legal notices to Dunyo must be sent to [email protected] and 651 N Broad St, Suite 201, Middletown, DE 19709. Dunyo may send notices to the email address associated with your account.
